PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION, A CLASS-ACTION AND JURY-TRIAL WAIVER, AN ASSUMPTION OF RISK, A RELEASE OF CLAIMS, AND LIMITATIONS ON OUR LIABILITY. BY PURCHASING A TICKET, ACCESSING OR USING OUR SERVICES, OR ATTENDING AN EVENT, YOU AGREE TO ALL OF THESE TERMS ON BEHALF OF YOURSELF AND ANY GUEST, MINOR, OR OTHER PERSON FOR WHOM YOU PURCHASE OR PROVIDE A TICKET.

Welcome to Constellation Concerts ("Constellation Concerts," "Constellation Concerts LLC," "we," "our," or "us"). These Terms of Use ("Terms") are a legally binding agreement that governs your access to and use of our websites, mobile experiences, ticketing platform, events, services, venues, and experiences (collectively, the "Services"). "You" means the purchaser, ticket holder, attendee, website user, and any person you bring with you or purchase tickets for.

1. Acceptance & Agreement to Be Bound

By using the Services, purchasing or accepting a ticket, entering a venue, or attending an event, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all posted venue rules and event-specific policies, each of which is incorporated by reference. If you do not agree, you must not use the Services, purchase a ticket, or attend an event.

If you purchase or provide tickets for others (including minors, guests, or a group), you represent that you are authorized to accept these Terms on their behalf, you agree to be responsible for their compliance, and you agree to indemnify us for their acts and omissions. Your purchase or use of the Services constitutes your acceptance of these Terms and has the same legal effect as a handwritten signature.

2. Eligibility & Minors

You must be at least 18 years old and able to form a legally binding contract to purchase tickets or create an account. Attendees under the age of 18 must be accompanied by a parent or legal guardian who accepts these Terms on their behalf and assumes all associated risks. We may impose event-specific age restrictions, and we may refuse entry to, or remove, any person who cannot verify age or eligibility, without refund.

3. Accounts, Access & Security

You are responsible for maintaining the confidentiality of any account credentials, order confirmations, QR codes, or tickets, and for all activity that occurs under them. We are not responsible for lost, stolen, duplicated, screenshotted, or fraudulently transferred tickets, and we may deny entry to any ticket presented more than once or that we reasonably believe to be invalid, counterfeit, or obtained improperly, without refund.

4. Use of the Services

You agree to use the Services only for lawful purposes and in compliance with all applicable laws. You may not:

  • Violate any law, regulation, or third-party right
  • Interfere with, disrupt, overload, or compromise the integrity, security, or performance of the Services
  • Attempt to gain unauthorized access to our systems, accounts, networks, or data
  • Use bots, scrapers, automated scripts, or purchasing software to browse, reserve, or buy tickets
  • Circumvent, disable, or interfere with security, rate-limiting, or access-control features (including seat-hold, checkout, or anti-oversell mechanisms)
  • Resell, transfer, or commercially exploit tickets or the Services except as expressly permitted in writing by us
  • Reverse engineer, copy, frame, or create derivative works from the Services or our content
  • Submit false, misleading, or fraudulent information, or use another person's payment method without authorization

5. Tickets, Pricing & Payment

Ticket purchases are subject to availability, applicable taxes and fees, and our stated policies. All prices are set at our sole discretion and may change at any time before purchase; the price in effect at the time your order is completed applies. Placing an order constitutes an offer that we may accept or decline. We reserve the right to cancel, limit, or refuse any order — including for suspected fraud, pricing errors, duplicate or excessive purchases, resale activity, or violations of these Terms — and to correct any pricing or listing error even after an order is submitted.

ALL SALES ARE FINAL. Except as expressly required by applicable law or as stated in Section 8 (Event Changes & Cancellations), tickets are non-refundable and non-exchangeable. You authorize us and our payment processors to charge your selected payment method for the full order amount, including taxes and fees. You agree not to initiate chargebacks, payment disputes, or reversals for valid purchases; you agree that doing so in bad faith is a breach of these Terms, and we reserve the right to cancel associated tickets, deny entry, recover costs and fees, and pursue any remedy available to us.

Convenience, service, processing, and facility fees are non-refundable even where the ticket price is refunded. We are not responsible for currency conversion, bank, or card-issuer charges.

6. Ticket Changes, Seat Assignments, Upgrades & Reassignment

Seat locations, sections, tiers, and inventory are subject to availability and administration. Constellation Concerts may change, upgrade, modify, downgrade, relocate, reissue, consolidate, or reassign tickets and seat assignments at our sole discretion, at any time and for any reason — including venue configuration changes, production or sightline requirements, safety, capacity or inventory management, or the resolution of duplicate or conflicting seat assignments. A ticket represents a revocable license to attend and occupy an assigned seat, not ownership of a specific seat.

If your ticket is upgraded or downgraded, any difference between the amount you paid and the value of your reassigned ticket will be automatically credited back to your original form of payment, and you agree that such a credit (where applicable) is your sole and exclusive remedy for any change in seat, section, or tier. A reasonably comparable or superior seat is not grounds for a refund. You agree to occupy only the seat to which you are assigned and to relocate at the request of staff.

7. Comps, Promotions, Contests & Transfers

Complimentary tickets, promotional codes, discounts, giveaways, and contest prizes are provided at our discretion, have no cash value, are non-transferable unless we state otherwise, and may be revoked, modified, or invalidated at any time. Tickets may not be resold above face value, bundled, auctioned, or used for advertising, promotions, sweepstakes, or other commercial purposes without our prior written consent. We may void any ticket that is transferred or acquired in violation of these Terms without refund and deny the holder entry.

8. Event Changes & Cancellations

We reserve the right to change, reschedule, postpone, or cancel any event, and to change any event detail — including artists, performers, lineup, program, set times, dates, running order, venue, seating, capacity, or production elements — at any time and without liability. Lineups and advertised talent are subject to change and are not guaranteed; a change in performer, program, or support act is not grounds for a refund.

If we cancel an event in its entirety and it is not rescheduled, your sole and exclusive remedy is, at our discretion, a refund of the face value of your ticket or an equivalent credit, and in no event will our liability exceed the amount you actually paid for the affected ticket. For rescheduled or postponed events, your ticket will generally be honored for the new date; refunds for rescheduled events, if any, are subject to our then-current Refund & Cancellation Policy. We are not responsible for any travel, lodging, transportation, childcare, or other incidental or consequential costs.

9. Admission, Conduct & Right to Refuse or Remove

Admission is a revocable license. We, our venue partners, and event staff reserve the right, at our sole discretion and without refund, to refuse admission to or remove any person who: violates these Terms, our Code of Conduct & Venue Policies, venue rules, or the law; poses a safety, security, or disruption risk; is intoxicated or impaired; engages in harassing, threatening, abusive, or disorderly conduct; refuses to comply with staff instructions, search, health, or safety requirements; or possesses prohibited items. You consent to reasonable searches of your person and belongings as a condition of entry.

  • No unauthorized recording, professional cameras, or broadcasting of any performance
  • No weapons, illegal substances, outside food or beverage, or other prohibited items
  • No re-entry except where expressly permitted
  • Compliance with all posted venue, capacity, health, and safety rules is required

10. Immersive Environment, Health & Assumption of Risk

Please also review our Health & Safety notice before attending. Constellation Concerts features a unique concert experience that may involve:

  • Extended periods of darkness and low visibility
  • RGB laser systems, advanced LED lighting, strobes, and high-powered projection technology
  • Sudden changes in lighting, flashing effects, haze or fog, loud sound, and motion effects
  • Crowds, standing, movement through dim spaces, and immersive or interactive elements

By attending, you knowingly and voluntarily agree to:

  • Assume all risks — known and unknown — arising from attendance, including the environmental conditions above, personal injury, illness, property loss, and interactions with other attendees
  • Exercise caution when moving through the venue and supervise any minors in your care
  • Refrain from touching, obstructing, or interfering with any technical, laser, lighting, or projection equipment
  • Consult a medical professional in advance if you are pregnant, have a photosensitive condition (such as epilepsy), a heart, mobility, sensory, or other condition, or are sensitive to flashing lights, loud sound, haze, darkness, or immersive experiences

Our lighting and projection systems are operated within applicable industry and safety standards, including Class 2 and Class 3R lasers. You attend at your own risk. To the fullest extent permitted by law, you assume full responsibility for any resulting injury, illness, or loss, and you release us from claims arising out of the inherent risks of attending a live, immersive event.

11. Photography, Recording & Media Release

By entering an event, you acknowledge and irrevocably consent that you (and any minor in your care) may be photographed, filmed, or recorded, and you grant Constellation Concerts and its designees a perpetual, worldwide, royalty-free, transferable license to use, reproduce, publish, and distribute your name, image, likeness, voice, and appearance in any media, for any promotional, commercial, archival, or other purpose, without further notice, approval, or compensation. If you do not consent, you must not enter.

12. Communications & Marketing Consent

By providing your contact information, you consent to receive transactional communications (such as order confirmations, check-in, and event updates) and, where permitted, marketing communications from us by email, SMS/text message, or other means. Message and data rates may apply. You may opt out of marketing at any time by following the unsubscribe instructions or replying STOP to texts; you may not opt out of transactional messages related to your order or attendance. You represent that any contact information you provide is accurate and that you are authorized to receive messages at it.

13. User Content & Feedback

If you submit reviews, comments, suggestions, ideas, or other content to us, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and exploit that content for any purpose without compensation or attribution. You are solely responsible for your content and represent that you have the rights to submit it and that it does not infringe any third-party right or violate any law.

14. Intellectual Property

All content and materials associated with the Services — including text, logos, trademarks, service marks, images, artwork, designs, music arrangements, laser and visual programming, software, and the overall look and feel — are owned by or licensed to Constellation Concerts LLC and are protected by intellectual property laws. Except for the limited, revocable, non-exclusive, non-transferable right to use the Services for their intended personal, non-commercial purpose, no rights are granted to you. You may not use, copy, reproduce, distribute, display, or create derivative works from our content without our prior written permission.

15. Third-Party Services

The Services may rely on or link to third-party providers (for example, ticketing, payment processing, analytics, hosting, venues, and vendors). We do not control and are not responsible for third-party content, products, practices, availability, security, or policies, and your use of them is at your own risk and subject to their terms. Your interactions with any third party are solely between you and that third party.

16. Disclaimer of Warranties

THE SERVICES, EVENTS, AND ALL RELATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any event will meet your expectations. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CONSTELLATION CONCERTS LLC, ITS OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, VENUE PARTNERS, SPONSORS, OR LICENSORS (THE "RELEASED PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR ENJOYMENT, ARISING OUT OF OR RELATED TO THE SERVICES OR ANY EVENT, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL THE RELEASED PARTIES' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR ANY EVENT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE TICKET OR TRANSACTION GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case, our liability is limited to the least extent permitted by law. Participation in immersive live events is at your own risk.

18. Assumption of Risk & Release of Claims

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS OF ATTENDANCE AND, ON BEHALF OF YOURSELF AND YOUR GUESTS, HEIRS, AND REPRESENTATIVES, RELEASE, WAIVE, AND DISCHARGE THE RELEASED PARTIES FROM ANY AND ALL CLAIMS, DEMANDS, AND CAUSES OF ACTION FOR PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE, OR OTHER LOSS ARISING OUT OF OR RELATED TO YOUR ATTENDANCE, INCLUDING CLAIMS BASED ON THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES, TO THE EXTENT PERMITTED BY APPLICABLE LAW. THIS RELEASE DOES NOT APPLY TO LIABILITY THAT CANNOT BE WAIVED BY LAW.

19. Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your attendance at, or conduct during, any event; (c) your breach of these Terms or any law or third-party right; (d) the acts or omissions of any guest or minor for whom you purchased or provided a ticket; or (e) any bad-faith chargeback or payment dispute.

20. Dispute Resolution, Binding Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. YOU AND CONSTELLATION CONCERTS AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND YOU WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Except for claims that qualify for small-claims court or seek injunctive relief for intellectual-property infringement, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any event ("Dispute") will be resolved exclusively by final and binding arbitration administered by a nationally recognized arbitration provider under its then-current consumer rules, before a single arbitrator, conducted in the state identified in Section 21 (or by videoconference or by phone), and governed by the Federal Arbitration Act.

You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court, but the remainder of this Section will remain in effect. If the entire arbitration agreement is found unenforceable, the exclusive venue and jury-trial waiver in Section 21 will govern.

Time to file: Any Dispute must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

21. Governing Law & Venue

These Terms and any Dispute are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. To the extent any Dispute is not subject to arbitration, you and we submit to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware, and waive any right to a jury trial and any objection to venue or inconvenient forum.

22. Force Majeure

We are not liable for any failure or delay in performance, or for any change, postponement, or cancellation of an event, caused by circumstances beyond our reasonable control, including acts of God, weather, fire, flood, pandemic, epidemic, public-health orders, government action, national emergency, war, terrorism, civil unrest, strike or labor dispute, power or equipment failure, artist illness or unavailability, venue unavailability, or any other force majeure event.

23. Changes to These Terms

We may update these Terms from time to time. Changes will be posted with a new "Last Updated" date and become effective when posted. Your continued use of the Services, retention of a ticket, or attendance at an event after changes are posted constitutes acceptance of the updated Terms. It is your responsibility to review the current Terms before each purchase.

24. Electronic Communications & Consent

You consent to transact and receive communications, agreements, notices, and disclosures from us electronically, and you agree that electronic acceptance, records, and signatures satisfy any legal requirement that such communications be in writing. You may withdraw this consent by ceasing to use the Services, but doing so may prevent you from purchasing tickets or attending events.

25. General

These Terms, together with any policies referenced herein, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements. If any provision is found unlawful or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer your rights under these Terms; we may assign ours freely. Section headings are for convenience only. Any provision that by its nature should survive termination — including Sections 5–21 — will survive.
